These Wholesale Terms apply to all wholesale accounts, orders and purchases made from Tiewell.

1. Wholesale account approval

Wholesale accounts are available to approved flyfishing retailers, flytying businesses and other relevant trade customers.

All wholesale accounts are subject to approval by Tiewell. Approval of an account does not guarantee ongoing supply, exclusivity, access to every product or access to any particular trading terms.

Tiewell may review, suspend or close a wholesale account where the customer no longer meets our account requirements or where continuing the commercial relationship is no longer suitable.

2. Orders

Orders may be placed through our wholesale website only.

All orders are subject to product availability and acceptance by Tiewell. An order is not confirmed until it has been accepted by us.

We may apply minimum order quantities, carton quantities or minimum order values to particular products or accounts.

3. Pricing

Wholesale prices are shown in Australian dollars and include GST unless otherwise stated.

Prices may change without notice due to supplier pricing, exchange rates, freight costs, production costs or other commercial factors. Confirmed orders will generally be invoiced at the price accepted at the time of order.

Any recommended retail price provided by Tiewell is a recommendation only. Wholesale customers remain responsible for independently determining their own resale and advertised prices.

4. Payment terms

Payment is required before an order is dispatched.

We recommend checkout with credit card so we can dispatch your order fast.

We don't do credit terms or accounts; you can use a bank for that.

5. Freight and delivery

Freight charges will be added to the invoice unless otherwise agreed in writing.

Delivery dates are estimates only. Tiewell is not responsible for delays caused by carriers, suppliers, customs, weather or circumstances outside our reasonable control.

Risk in the goods passes to the customer when the goods are delivered to the nominated address or collected by the customer or its carrier.

6. Shortages, errors and damaged goods

Any shortage, incorrect item or visible freight damage must be reported within seven days of delivery.

Claims should include the invoice number, product details, quantities and clear photographs where relevant.

Products must not be returned without prior approval from Tiewell.

7. Returns

Change of mind returns are not automatically accepted.

Approved returns must be unused, unopened, undamaged and suitable for resale in their original packaging. A restocking or return freight charge may apply.

Faulty products will be handled in accordance with applicable Australian Consumer Law requirements and any relevant manufacturer warranty.

8. Brand presentation

Wholesale customers are expected to represent Tiewell and the brands we distribute accurately, professionally and in a manner that supports their reputation.

Products must be advertised using accurate descriptions, specifications, images and claims. Retailers must not make misleading claims, alter product branding or present products in a way that may confuse customers about their origin, quality, warranty or intended use.

Where Tiewell supplies approved product images, logos, descriptions or other brand material, these materials may only be used to promote genuine products purchased through an authorised supply channel.

Wholesale customers must promptly correct inaccurate or misleading product information when reasonably requested by Tiewell.

9. Sales channels

Products may only be sold through the retail stores, websites and sales channels disclosed to and approved by Tiewell.

Products must not be supplied to another reseller, wholesaler, marketplace seller, liquidation business or unauthorised third party without prior written approval.

Wholesale customers must not represent themselves as an exclusive distributor, agent or representative of Tiewell or any represented brand unless this has been expressly agreed in writing.

10. Online marketplaces

Products must not be listed on third party marketplaces, auction websites or similar platforms without prior written approval from Tiewell.

Approval may be subject to requirements relating to product authenticity, customer service, product information, warranty handling and brand presentation.

11. Promotions and clearance activity

Retailers are responsible for setting their own resale prices.

Where a promotion, clearance campaign or advertising activity uses Tiewell branding, a represented brand’s intellectual property or suggests endorsement by Tiewell, prior approval may be required for the use of that branding or material.

Nothing in these terms requires a retailer to advertise or sell products at a particular price.

12. Intellectual property

All trademarks, logos, photographs, product descriptions, packaging designs and other intellectual property remain the property of Tiewell or the relevant brand owner.

Wholesale customers receive a limited, revocable permission to use approved brand material solely for the purpose of advertising and selling genuine products supplied through Tiewell.

Brand material must not be modified, sublicensed or used in connection with competing, counterfeit or unauthorised products.

13. Product authenticity

Wholesale customers must not alter, relabel, repackage or combine products in a way that misrepresents the original product or manufacturer.

Batch labels, safety information, country of origin information and other required product markings must not be removed or obscured.

14. Confidentiality

Wholesale pricing, account terms, unreleased product information and other commercially sensitive information supplied by Tiewell must be kept confidential.

This information must not be disclosed to competitors, other retailers or unauthorised parties except where required by law.

15. Suspension or termination of supply

Tiewell may suspend or terminate an account for legitimate commercial reasons, including:

• overdue accounts
• misleading product information
• misuse of trademarks or brand assets
• sale through an unauthorised channel
• unauthorised wholesale or onward supply
• sale of counterfeit or substituted products
• conduct that may materially damage the reputation of Tiewell or a represented brand
• repeated breaches of these Wholesale Terms

Any decision relating to supply will be made independently and will not be conditional upon a retailer agreeing to sell or advertise products at a minimum price.

16. Changes to these terms

Tiewell may update these Wholesale Terms from time to time.

Updated terms will apply to orders placed after the customer has been notified of the change or the updated terms have been published through the applicable wholesale ordering system.

17. Governing law

These Wholesale Terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria and any courts entitled to hear appeals from those courts.
